Terms of Service

1. Agreement

These terms govern services provided by Routine Marketing (“we”, “us”) to a client (“you”). Individual engagements are additionally governed by a written scope or statement of work. Where a signed scope conflicts with these terms, the signed scope controls.

2. Services

We provide marketing services including audits, marketing systems build-out, content production, email marketing, paid media management, and reporting. The specific services, deliverables, and schedule for your engagement are set out in your written scope.

3. Fees and payment

  • Fees are set out in your written scope and quoted before work begins.
  • Invoices are issued at the start of each billing cycle and are due on receipt unless stated otherwise.
  • Card payments are processed by a third-party payment processor. We do not store or have access to your full card details.
  • Third-party costs such as advertising spend, software licences, and domain or hosting fees are excluded from our fees and are billed to your own accounts.

4. Term and cancellation

Fixed-scope work runs until the agreed deliverables are complete. Ongoing retainers run month to month and may be ended by either party with 30 days written notice. Work already performed and costs already committed remain payable.

5. Client responsibilities

You agree to provide the access, assets, and approvals reasonably required for us to perform the services, and to nominate a person authorised to approve work. Delays caused by outstanding access or approvals may shift agreed dates.

6. Ownership

On payment in full, all deliverables produced specifically for you transfer to you. We retain ownership of our pre-existing methods, templates, and tooling, and grant you a perpetual licence to use them as embedded in your deliverables.

7. Confidentiality

Each party will keep the other’s non-public information confidential and use it only to perform or receive the services.

8. Warranties and liability

We will perform the services with reasonable skill and care. We do not warrant any particular commercial result, ranking, traffic volume, or return on advertising spend, as these depend on factors outside our control. To the maximum extent permitted by law, our total liability arising out of an engagement is limited to the fees paid by you for that engagement in the three months preceding the claim, and neither party is liable for indirect or consequential loss.

9. Changes to these terms

We may update these terms from time to time. Material changes will not apply retroactively to work already scoped and paid for.
